REMOTE SERVICE AGREEMENT

ARTICLE 1: PARTIES AND DEFINITIONS
This agreement was signed on [ Date ] between:
- YSN LABS YAZILIM HİZMETLERİ VE BİLİŞİM TEKNOLOJİLERİ SANAYİ TİCARET LİMİTED ŞİRKETİ, operating at YILDIRIM MAH. BOSNA SK. NO:13 İÇ KAPI: 4 BAYRAMPAŞA/İSTANBUL, TÜRKİYE (hereinafter referred to as “SERVICE PROVIDER”), and
- [Customer Name / Company Name], residing at [Customer Address] (hereinafter referred to as “CLIENT”).
The subject of the agreement covers the use of the Outfica platform (hereinafter “SOFTWARE”) which offers digital fashion services.
ARTICLE 2: PURPOSE OF THE AGREEMENT
The purpose of this agreement is to define the rights and obligations of the parties regarding the use, hosting, and support services of the SOFTWARE. Upon commencement of the agreement, the parties agree to act within the framework of these terms. The SERVICE PROVIDER agrees to grant the CLIENT access to the SOFTWARE. All ownership rights of the SOFTWARE remain with the SERVICE PROVIDER regardless of the duration of use.
ARTICLE 3: CLIENT OBLIGATIONS
3.1 The CLIENT is responsible for obtaining the necessary hardware, internet access, and compatible devices.
3.2 The CLIENT must provide all data, content, and documents required for the installation and operation of the SOFTWARE in a timely manner. The SERVICE PROVIDER shall not be held responsible for delays caused by missing or late materials.
3.3 The CLIENT agrees that all technical and intellectual property rights of the SOFTWARE belong to the SERVICE PROVIDER, and the software shall not be copied, duplicated, or distributed in any form.
3.4 The CLIENT declares that all content, visuals, and data provided to the SERVICE PROVIDER are their sole responsibility.
ARTICLE 4: SERVICE PROVIDER OBLIGATIONS
4.1 The SERVICE PROVIDER is obliged to provide the CLIENT access to the SOFTWARE and ensure its operability.
4.2 Any technical issues related to faulty or non-operational systems will be resolved within 20 business days at no additional cost.
4.3 For additional requests requiring extensive design or new feature development, a separate price quote will be provided and implemented upon mutual agreement.
4.4 The SERVICE PROVIDER shall not be held liable for any consequences arising from misuse or illegal use of the SOFTWARE.
ARTICLE 5: CONFIDENTIALITY
5.1 Both parties agree to keep all commercial, user-related, and technical information acquired from one another confidential.
5.2 The SERVICE PROVIDER will not share CLIENT data, login credentials, or uploaded content with third parties.
5.3 The SERVICE PROVIDER is not responsible for data loss or security breaches caused by the CLIENT’s negligence.
ARTICLE 6: VALIDITY OF ELECTRONIC RECORDS
All emails, messages, and digital communications exchanged between the parties shall be considered valid legal evidence.
ARTICLE 7: NOTIFICATIONS
The addresses listed in this agreement shall be accepted as the official notification addresses. Any address changes must be communicated via notary; otherwise, notifications sent to the original addresses will be considered valid.
ARTICLE 8: WARRANTY
8.1 During this period, any technical problems or software bugs not caused by the CLIENT will be resolved free of charge.
ARTICLE 9: TERMINATION
9.1 If the SERVICE PROVIDER fails to complete the delivery, all payments received shall be refunded to the CLIENT.
9.2 If the CLIENT cancels the project after receiving any module, content, or visual from the SERVICE PROVIDER, 50% of the prepayment shall be retained.
ARTICLE 10: LICENSE CONDITIONS
10.1 The CLIENT has the right to use the SOFTWARE only for their business. Resale, rental, or distribution is strictly prohibited.
10.2 All ownership and coding rights of the SOFTWARE remain with the SERVICE PROVIDER.
10.3 This agreement is non-transferable; the CLIENT cannot grant usage rights to third parties.
ARTICLE 10: LICENSE CONDITIONS
11.1 The CLIENT agrees to pay [amount] USD based on the selected plan.
11.2 Maintenance, updates, and technical support services are included in the first year.
11.3 If payments are not made, the SERVICE PROVIDER reserves the right to suspend or terminate the service.
ARTICLE 12: JURISDICTION
Any disputes arising from this agreement shall be resolved under the jurisdiction of the courts and enforcement offices of [City/Country].
